NYCCOC's failure to insist upon performance of any term or condition of this Agreement shall not be construed as a waiver. This Agreement shall not be construed in any way as limiting or waiving any other rights or remedies NYCCOC may have under law.
In the event of a violation of this Agreement by you or any other person or entity acting through you or on your behalf, you agree to indemnify, defend and hold harmless NYCCOC and its officers, directors, employees and related governmental entities as well as its agents, licensors, licensees, suppliers and any third party providers to the Site from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from such violation.
